Abstract: This article aimed to understand how governance structures and the search for value protection influence transaction costs in the relationship between dairy producers and processors in Paraná, Brazil. These aspects are treated by Transaction Cost Economics (TCE) and by Measurement Cost Economics (MCE). For data collection, 30 semi-structured interviews were conducted and Content Analysis was used for data treatment and results analysis. For the theory, the study contributed demonstrating that although the alignment between transaction attributes and governance structures contribute for value protection as proposed by TCE, in the absence of complete information, this alignment is still not enough to guarantee economic rights, as predicted by MCE. Empirically, it contributed suggesting the use of formal contracts and the importance of formal information available to milk producers and processors to improve their results in the activity. Thus, considering the governance structures in Paraná’s dairy AGS, it is predicted that even if the hybrid structure is adequate, under TCE view, due to its alignment with transaction attributes, MCE concepts help to explain why agents still need guarantee mechanisms. Those mechanisms, such as long-term relationships, normative instructions and informal agreements, attempt to protect value, given informational problems.

Resumo: O objetivo do artigo foi compreender como as estruturas de governança e a busca pela proteção do valor influenciam nos custos de transação na relação entre produtores e processadores de leite no Paraná. Esses aspectos são tratados pela Economia dos Custos de Transação (ECT) e pela Economia dos Custos de Mensuração (ECM). Para a coleta de dados, foram realizadas 30 entrevistas semiestruturadas e os mesmos foram tratados pela Análise de Conteúdo. Para a teoria, o estudo contribuiu demonstrando que, embora o alinhamento entre atributos da transação e estruturas de governança contribuam para a proteção de valor, conforme se espera pela ECT, na ausência de informações completas, esse alinhamento não é suficiente para garantir direitos econômicos, como previsto pela ECM. Empiricamente, o estudo contribuiu sugerindo o uso de contratos formais e a importância da distribuição de informações formalizadas aos produtores e processadores de leite, a fim de que melhorem seus resultados na atividade. Assim, conclui-se que mesmo que a estrutura de governança híbrida seja adequada, devido ao alinhamento com os atributos da transação, os conceitos da ECM explicam porque ainda são necessários mecanismos de garantia (relações de longo prazo, instruções normativas e acordos informais) dados os problemas de informação.

Resumo: Cadeias globais de valor agroalimentares sustentáveis dependem da governança da cadeia pela empresa líder e governança da transação. No entanto, a ligação entre elas ainda não está clara. Investigou-se, portanto, o campo científico sobre “governança na cadeia global de valor agroalimentar” em um período de 15 anos, nas bases de dados Scopus e Web of Science, por meio de duas análises: uma bibliométrica descritiva e uma análise de co-ocorrência de palavras-chave. Os resultados descritivos mostram que a pesquisa sobre o tema tem aumentado ao longo dos anos, com uma concentração de publicação em países como os Estados Unidos, Reino Unido e Holanda, com destaque para a Universidade de Wageningen. O gráfico de rede mostrou um campo teórico multidisciplinar e quatro eixos: governança da cadeia; governança de transações; relações horizontais; elementos políticos e estruturais. Governança da cadeia e da transação estão indiretamente ligadas pelo conceito de upgrading, comprometendo uma visão holística sobre sustentabilidade. Embora a sustentabilidade da cadeia dependa dos dois níveis de governança, este estudo bibliométrico mostrou que há uma lacuna a ser preenchida nesse tema. Propomos um estudo integrando ambos os conceitos, considerando upgrading, relações verticais e horizontais, bem como políticas públicas.

Abstract: Sustainable agrifood global value chains depend on chain governance by the lead firm and transaction governance. However, the link between them is still unclear. We therefore investigated the scientific field on “governance in agrifood global value chain” over 15 years in the Scopus and Web of Science databases through two analyses: a descriptive bibliometric and a keywords co-occurrence analysis. Our descriptive results show that the research on the theme has increased over the years, with a concentration of the papers published in countries such as the United States, the United Kingdom and the Netherlands, with emphasis on Wageningen University. The network graph showed a multidisciplinary theoreticomplcal field and four axes: chain governance; transaction governance; horizontal relationships; political and structural elements. The chain and the transaction governance are indirectly linked by the concept of upgrading, compromising sustainability’s holistic view. Although the sustainability of the chain depends on both levels of governance, this bibliometric study showed that there is a gap to be filled in this topic. We propose a study in the light of both concepts, considering upgrading, vertical and horizontal relationships, as well as public policies.

Resumo: O objetivo deste trabalho foi discorrer sobre as estruturas de governança adotadas entre pecuaristas e suas cooperativas de abate na cadeia da carne bovina diferenciada no Estado do Paraná. Utilizou-se como base teórica a Economia dos Custos de Transação e a Economia dos Custos de Mensuração, complementadas pelas especificidades das cooperativas. Foram realizadas entrevistas com três agentes-chave e onze representantes de seis cooperativas de abate atuantes nesse sistema. Como resultados, observou-se que as cooperativas possuem objetivos e exigências semelhantes, embora haja diferenças nos níveis de formalidade ou flexibilização. Constata-se que, embora as transações sejam recorrentes e tenham sido exitosas, envolvem elevada especificidade de ativos, dependem de mensurações subjetivas e ainda estão expostas a incertezas de mercado, o que deixa margem para geração de conflitos e desincentivos à qualidade. Apesar disso, os aspectos relacional e reputacional associados à confiança e parceria entre as partes se constituem como elementos que possibilitam a redução dos custos de transação e de mensuração nessas estruturas. As mensurações realizadas pelas cooperativas tiveram um importante papel na construção da confiança entre as partes e para a distribuição de valor, em um primeiro momento. Em um segundo momento, a confiança construída possibilitou a redução dos custos de mensuração.

Abstract: This study sought to discuss the governance structures adopted between livestock producers and their cooperative slaughterhouses in the chain of differentiated beef in the state of Paraná. The theoretical basis used was the Transaction Cost Economics and Measurement Costs Economics, complemented by the specificities of cooperatives. We conducted interviews with three key agents and eleven representatives of six cooperative slaughterhouses operating in this system. As result, we observed that the cooperatives have similar objectives and requirements, although there are differences in the levels of formality or flexibility. Although transactions are recurrent and have been successful, they involve a high asset specificity, depend on subjective measurements, and are still exposed to market uncertainties, which leaves room for the generation of conflicts and disincentives to quality. Despite this, the relational and reputational aspects associated with trust and partnership between the parties are elements that enable reduced transaction and measurement costs in these structures. At first, the measurements conducted by the cooperatives had an important role in the construction of trust between the parties and for value distribution. In a second moment, the trust built enabled the reduction of measurement costs.

RESUMO: O conflito entre pecuarista e indústria frigorifica é evidente e histórico no Sistema Agroindustrial da carne bovina no Brasil, sendo comum a presença de comportamento oportunista. Nesse sentido, o papel da confiança se apresenta como significativo na decisão de troca, o que torna a análise da confiança no processo de construção da estrutura de governança um fator importante. O presente artigo teve como objetivo identificar a influência da confiança na escolha do arranjo contratual nas transações entre pecuaristas e frigoríficos. O estudo qualitativo e descritivo empregou entrevistas semi-estruturadas, realizadas in loco, junto a 30 pecuaristas de gado de corte e cinco frigoríficos localizados no Oeste Paulista. Observou-se que as transações envolvem comportamento oportunista, e que a confiança exerce fator significativo na escolha pelo arranjo contratual.

ABSTRACT: In Brazil, the conflict between cattlemen and the slaughterhouse industry is evident and historic in the beef cattle Agribusiness System, in which opportunistic behavior is commonplace. Accordingly, the role of trust is significant in trade decisions, which makes the analysis of trust in the construction process of governance structure an important factor. The present article aimed to identify the influence of trust in selecting the contractual arrangement in transactions between cattle ranchers and abattoirs. This qualitative and descriptive study used semi-structured interviews, done in loco, along with 30 beef cattle ranchers and five abattoirs in the west of São Paulo State. It was observed that transactions involve opportunistic behavior, and that trust is critical in selecting the contractual arrangement.
