Abstract Purpose This paper evaluates the influence of corporate governance and ownership concentration on subsidized financing in Brazil. Theoretical framework The effect of governance and ownership concentration on subsidized debt is analyzed from the perspective of agency conflicts (Agency Theory) and company behavior in relation to debt (Trade off and Pecking Order Theories). Design/methodology/approach Corporate governance is approximated by an index and presence on the Novo Mercado. Models are estimated by FGLS and Logit for a panel with 1387 annual observations of 147 companies with more liquidity on B3 in the period 2010-2019. Findings Ownership concentration has a positive quadratic relationship with subsidized debt, which was not sensitive to corporate governance. There is a preference for subsidized debt by managers in companies with low ownership concentration and by controlling shareholders in companies with high concentration. The more lenient monitoring from subsidized debt’s creditor may be an explanatory factor. In addition, companies with high ownership concentration face difficulties for share issuance and consider it uninteresting. All that leads these firms to intensify debt raising. Practical & social implications of research It may be interesting for the government strengthening the analysis of corporate governance aspects in the assignment of subsidized credit. Originality/value The recent evolution and the determinants of subsidized debt in Brazil are analyzed under the agency conflicts approach. RESUMO Este artigo investiga, no mercado de capitais brasileiro, o efeito da composição do conselho de administração na sensibilidade da remuneração dos executivos ao desempenho de mercado, conhecida como pay-performance sensitivity (PPS). Devido aos potenciais conflitos de agência entre acionistas controladores e minoritários e entre acionistas e gestores, os membros do conselho de administração da diretoria executiva ou indicados pelo acionista controlador teriam menos independência, o que pode comprometer a eficiência do monitoramento e, por consequência, reduzir a PPS. Pretende-se contribuir com o entendimento dos conflitos de agência ocorridos no mercado de capitais brasileiro e com a definição da configuração dos mecanismos de monitoramento e compensação que minimizam os custos totais de agência, maximizando a riqueza dos acionistas. Os resultados da pesquisa trazem implicações para a compreensão das relações de agência e para a governança corporativa no mercado de capitais brasileiro. Conclui-se que a relação entre o monitoramento exercido pelo conselho de administração e a compensação dos gestores é condição para sua eficácia como mecanismo de governança no mercado de capitais brasileiro. Analisaram-se dados do período de 2013 a 2015 de 92 empresas participantes do Índice Brasil 100 (IBRX 100) da Bolsa de Valores, Mercadorias e Futuros de São Paulo (BM&FBOVESPA). Além de testes de diferença entre médias e correlação, processaram-se estimações por meio da modelagem mínimos quadrados generalizados viáveis (feasible generalized least squares). A independência do conselho de administração em relação ao acionista controlador e à diretoria executiva pode funcionar como mecanismo de governança corporativa complementar à compensação dos executivos. Os resultados deste estudo indicam que a proporção de executivos e de membros independentes no conselho de administração reduz a PPS, medida de eficácia da compensação dos executivos operacionalizada pela relação contemporânea entre incremento da remuneração dos gestores e incremento de valor de mercado da empresa.

ABSTRACT This article investigates, in the Brazilian capital market, the effect of the composition of the board of directors on executive compensation sensitivity to market performance, known as pay-performance sensitivity (PPS). Due to potential agency conflicts between controlling and minority shareholders and between shareholders and managers, members of the board of directors of the executive board or those appointed by the controlling shareholder might have less independence, something which may compromise monitoring effectiveness and, consequently, reduce the PPS. The purpose is contributing to understand the agency conflicts that have taken place in the Brazilian capital market and to define the configuration of the monitoring and compensation mechanisms that minimize total agency costs, maximizing shareholders’ wealth. The research results have implications for understanding the agency relations and for corporate governance in the Brazilian capital market. It is concluded that the relation between the monitoring exercised by the board of directors and executive compensation is a condition for its effectiveness as a governance mechanism in the Brazilian capital market. Data within the period 2013-2015 from 92 companies that participate in the Brazil 100 Index (IBRX 100) of the São Paulo Stock, Mercantile & Futures Exchange (BM&FBOVESPA) were analyzed. In addition to tests of difference between mean values and correlation, estimates were processed through feasible generalized least squares modeling. The independence of the board of directors vis-à-vis the controlling shareholder and the executive board may work as a corporate governance mechanism supplementing executive compensation. The results of this study indicate that the proportion of executives and independent members in the board of directors reduces the PPS, a measurement for executive compensation effectiveness made operational by the contemporary relation between increased managers’ compensation and increased company’s market value.

Resumo Objetivo: Investigar a relação entre as práticas de responsabilidade social corporativa (RSC) voltadas para o stakeholder funcionário e a competitividade de bancos brasileiros. Metodologia: Realizaram-se duas análises estatísticas de associação entre as proxies de competitividade e as variáveis indicativas da responsabilidade social interna: o teste de Jonckheere-Terpstra e a análise de regressão com modelagem Feasible Generalized Least Squares (FGLS). A amostra é composta por 21 bancos com ações negociadas na BM&FBovespa no período de 2010 a 2014. Resultados: As práticas de RSC voltadas aos funcionários impactam o desempenho financeiro dos bancos. A remuneração dos funcionários tem uma relação positiva com o desempenho financeiro, e o índice de terceirização tem uma relação negativa, explicadas por uma maior produtividade dos funcionários. A rotatividade de pessoal e a participação feminina nos órgãos de gestão e governança estão diretamente relacionadas com os indicadores de competitividade, de forma negativa e positiva, respectivamente, sem relação com a produtividade dos funcionários. Contribuições: Os bancos que apresentam melhores práticas de RSC com seus funcionários têm ganhos financeiros superiores e mais produtividade. Existem itens específicos com potencial para desenvolver uma posição competitiva, agregando valor às empresas e ao funcionário. A pesquisa sustenta o argumento da necessidade de os gestores identificarem práticas de RSC que adicionam valor à firma e dos benefícios oriundos da alocação de valor ao stakeholder funcionário.

Abstract Purpose: This paper investigates the relationship between corporate social responsibility practices geared towards stakeholder employees and the competitiveness and productivity of Brazilian banks. Design/methodology/approach: We carried out two association statistical analyses between the proxies of competitiveness and the variables that indicated of internal social responsibility: the Jonckheere-Terpstra test and regression analysis with Feasible Generalized Least Squares (FGLS) modeling. The sample is made up of 21 banks listed in BM&FBovespa over the 2010-2014 period. Findings: The survey shows that corporate social responsibility practices geared towards employees impact the financial performance of banks. Employees’ salaries positively affected financial performance, and the latter was negatively affected by the rate of outsourcing, both explained by greater employee productivity. Employee turnover and female participation in management and governance bodies are directly related to competitiveness indicators, in a negative and positive way, respectively, with no regard to employee productivity. Originality/value: Banks that offer better CSR practices to their employees present greater financial gains and increased employee productivity. There are specific items that have the potential to lead to a competitive status, adding value to businesses and employees. This research argues that managers should identify the CSR practices that add value to their companies and the benefits derived from value allocation to employees.

A satisfação no trabalho é vista como um aspecto que, quando presente, motiva os empregados, e afeta positivamente a produtividade destes. Nesta perspectiva, o presente estudo buscou identificar os fatores preponderantes para satisfação no trabalho na Superintendência Regional do Trabalho e Emprego (SRTE/CE), à luz da teoria bifatorial de Herzberg (1997). Foi realizada uma survey com três grupos distintos de agentes públicos: auditores fiscais do trabalho, servidores administrativos e estagiários. Os dados foram analisados por meio de métodos quantitativos e análise de conteúdo. O questionário continha uma escala de satisfação tipo Likert de cinco pontos, versando sobre o nível de satisfação dos pesquisados, com cinco fatores motivacionais e seis fatores higiênicos, além de duas perguntas abertas sobre outros aspectos relativos à satisfação ou insatisfação dos respondentes com o trabalho. Os resultados revelaram que os fatores motivacionais que predominaram na geração da satisfação nos três grupos investigados foram a realização profissional, as atividades desempenhadas e a responsabilidade atribuída. Entre os fatores higiênicos, os servidores e estagiários do Ministério do Trabalho e Emprego mostraram-se mais satisfeitos, de forma geral, com a supervisão e com os relacionamentos interpessoais. Estes resultados corroboram pesquisas anteriores realizadas em outras entidades governamentais. Adicionalmente, análises de correlação e testes não paramétricos mostraram que as características do perfil do respondente podem influenciar na satisfação com alguns fatores motivacionais e higiênicos analisados.

Job satisfaction is seen as an aspect that, when present, motivates employees and affects positively their productivity. In this perspective, the present work intended to identify the preponderant factors for job satisfaction in Regional Superintendent of Labor and Employment (SRTE / CE), in the Light of Herzberg's two-factor theory. It was carried out a survey with three distinct groups of public agents: labor inspectors, administrative servers and trainees. The data were analyzed by quantitative method and content analysis. The questionnaire contained a five-point Likert-type satisfaction scale, concerning the level of satisfaction of surveyed people with five motivational factors and six hygiene factors, in addition there were two open questions about other aspects with which the respondents were satisfied or dissatisfied. The results revealed that the motivational factors prevailed in the generation of satisfaction in the three investigated groups were carrying out professional, activities performed and the responsibility assigned; related to hygiene factors, respondents were more satisfied in general, under the supervision and interpersonal relationships. These results corroborate previous research conducted in other governmental entities. Additionally, correlation analyzes and no-parametric tests showed that the profile characteristics may influence the respondent's satisfaction with hygiene and motivational factors analyzed.
